Location: Denver, Colorado (Hybrid Position - 2-3 days/week in office)
About the Role:
As a Senior Paralegal, you'll provide critical support to our corporate securities functions, collaborating with legal team members and stakeholders across the organization. Your expertise will be essential in ensuring compliance with securities laws and regulations, as well as supporting various corporate governance initiatives.
Essential Functions:
Assist the legal team with securities law compliance and filings with the SEC, NYSE, and other regulatory bodies.
Support periodic and ad-hoc regulatory reporting (Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, 13-F), and maintain the company's insider trading compliance program and internal policies (Regulation FD, Related Person Transactions).
Oversee international securities filings related to employee equity and ESPP purchases, ensuring compliance with local laws.
Partner with cross-functional teams (Legal, External Reporting, Investor Relations, Treasury, People, Equity, Compensation) on various corporate legal matters, special projects, and processes.
Support capital market transactions, including assisting with due diligence and KYC requests.
Work with transfer agents and respond to shareholder questions and inquiries.
Assist with document production for SOX compliance, internal audits, and other compliance requirements.
Support corporate governance and compliance processes, including record-keeping, officer/director onboarding/offboarding, and preparing board meeting agendas, presentations, resolutions, consents, minutes, and other materials.
Qualifications:
Basic Qualifications:
5+ years of relevant work experience with a Bachelor's Degree OR 2+ years of experience with an Advanced Degree (Master's, MBA, JD, MD) OR 0 years of experience with a PhD.
Preferred Qualifications:
6+ years of relevant work experience with a Bachelor's Degree OR 4+ years of experience with an Advanced Degree (Master's, MBA, JD, MD) OR up to 3 years of experience with a PhD.
Experience as a corporate paralegal, preferably at a top-tier international law firm or in-house legal department at a large public company.
High-quality writing skills and experience conducting legal research and reviewing public filings.
Proficiency with Section 16 and EDGAR filings (preferred).
Excellent attention to detail, organizational, and time management skills.
Ability to work independently and collaboratively in a fast-paced environment.
Ability to prioritize and manage multiple1 projects under pressure.

Additional Information:
Work Hours: Vary based on department needs.
Travel: 5-10% travel required.

Compensation & Benefits:
U.S. Applicants: Estimated salary range for this position is $100,700 - $137,700 per year (may include sales incentive payments). Salary depends on job-related factors (knowledge, skills, experience, location). This position may be eligible for bonus and equity. Comprehensive benefits package includes medical, dental, vision, 401(k), FSA/HSA, life insurance, paid time off, and wellness program.
